NAGA’s 2021 unaudited preliminary Group figures at a glance:&nbsp;• Another record year: Revenue of EUR 55,3 million, up 126% vs&nbsp; guidance of EUR 50 million&nbsp;• EBITDA of EUR 12,8 million, up 93% YoY&nbsp;• Traded volume up by 107% to EUR 250 billion&nbsp;• Trades up by 60% to 10 million&nbsp;• Copy trading nearly tripled to 4.8 million trades&nbsp;Hamburg, January 13th, 2022 - NAGA Group AG (XETRA: N4G, ISIN:&nbsp; DE000A161NR7), provider of the social network for trading, cryptocurrencies and&nbsp; payments NAGA.com, has exceeded its revenue guidance for 2021 according to&nbsp; unaudited preliminary figures.&nbsp;Consolidated group revenue more than doubled to around EUR 55.3 million compared&nbsp; to previous year (2020: EUR 24.4 million). The strong growth is underlined by a record&nbsp; EBITDA of EUR 12.8 million, which is also almost a doubling compared to 2020 (EUR&nbsp;6.6 million). Furthermore, NAGA reports that over 277,000 new accounts joined its&nbsp; trading platform, a 128% increase compared to last year (2020: 122,000 new&nbsp; accounts).&nbsp;&nbsp;Traded volume in 2021 reached EUR 250 billion for the first time, which means that the&nbsp; company was also able to double this metric compared to 2020 (EUR 121 billion). In&nbsp; addition, NAGA executed more than 10 million real-money transactions, an increase of&nbsp; 60% compared to 2020 (6.3 million). Notably, the strongest growth metric is the copy trading activity. In 2021 NAGA saw over 4.8 million trades copied via its unique Auto&nbsp; Copy tool, that is almost tripling compared to 2020 (1.7 million copied trades).“2021 was a fantastic year for NAGA. Hamburg, 24th&nbsp;November 2021 - NAGA Group AG (XETRA: N4G, ISIN: DE000A161NR7),&nbsp; provider of the social network for trading, cryptocurrencies and payments <a href="https://naga.com">NAGA.com</a>, is&nbsp; planning an initial public offering ("IPO") and an associated listing on the US technology&nbsp; exchange NASDAQ for 2022.NAGA's IPO and listing in the US could be completed as early as the second half of 2022,&nbsp; subject to market conditions and other conditions. Details will be determined by NAGA at a&nbsp; later stage in the process. NAGA expects through the US IPO access to a much broader group&nbsp; of investors and to further significantly strengthen its profile on the capital market.These efforts are supported by a continuously strong development of the operative business.&nbsp; For the financial year 2022, the company expects consolidated sales of EUR 95 million to EUR&nbsp; 105 million, which corresponds to a approx. doubling of the sales planned for 2021, as well as&nbsp; consolidated earnings before interest, taxes, depreciation and amortization (EBITDA) of EUR&nbsp; 25 million. up to EUR 30 million.At the same time, the company announces that its direct business relationships in regards to&nbsp; regulated activities with UK-based customers of the companies within the group are to be&nbsp; terminated in the course of December. Hamburg, November 19, 2021 - The Naga Group AG (ISIN DE000A161NR7, Frankfurt Stock&nbsp; Exchange Scale segment) announces that it has successfully completed a placement of new&nbsp; shares in connection with the cash capital increase that was announced yesterday.The placement consisted of 4,223,250 shares, and was placed with a leading European finan cial investor as well as qualified investors in Germany and other selected jurisdictions (outside&nbsp; the United States of America) at a subscription price of EUR 8.00 per share.The Naga Group AG has secured EUR 34 million of total growth capital, which will be used to&nbsp; further finance global growth and enhanced marketing measures.Hauck &amp; Aufhäuser acted as Sole Global Coordinator and Sole Bookrunner in connection with&nbsp; the transaction.

The Management Board of The Naga Group AG today resolved, with the approval of the Supervisory Board, to increase the Company's share capital by up to EUR 4,625,489.00 by issuing up to 4,625,489 new registered no-par value shares with a notional interest in the share&nbsp;capital of EUR 1.00 per share against cash contributions, making partial use of the existing&nbsp; authorised capital and excluding shareholders' subscription rights. The new shares are entitled&nbsp;to participate in profits from 1 January 2021.A binding commitment of a leading strategic european Investor has already been received for&nbsp; the issue volume of EUR 30 million (corresponding to approx. 80 % of the shares offered); the&nbsp; remaining new shares will be offered to institutional investors in Germany and other European&nbsp; countries by way of a private placement.The new shares are to be included in the existing listing in the Scale segment of the Frankfurt&nbsp; Stock Exchange without a prospectus. The capital increase will enable more dynamic growth,&nbsp; the expansion of the international shareholder base and an increase in the free float.The transaction is being accompanied by Hauck &amp; Aufhäuser Privatbankiers AG.
